1
This Association
shall be known as the Ohio Circulation Managers
Association.
ARTICLE
2
The elected
Officers of the Association shall be a President,
First Vice-President, Second Vice-President, Third
Vice-President, Secretary-Treasurer, and Chairman of
the Board. They shall hold office for a period of
one year or until the election of their successors.
Candidates seeking office shall have served the
organization previously. Seven Directors shall also
be elected at the annual meeting of the Association.
Two of the Directors shall be Past Presidents,
excluding the immediate Past President, who would be
Chairman of the Board. After the 1977 annual
meeting, all Directors shall be elected by ballot at
the annual meeting of the Association and must
receive a majority of the votes cast by the members
present. The Officers and the Board of Directors
thus constituted and elected shall conduct and
control the affairs of the Association.

ARTICLE
3
An Advisory Council shall consist of all appointed officers and
the Past-Presidents of the Association. Members of the Advisory
Council shall have the privilege of attending all meetings of
the Board of Directors and taking part in discussion, but with
no vote. The Chairman of the Board of the Association shall
serve as chair of such Advisory Council.

ARTICLE 3-A
A bulletin editor shall be appointed by the Board of Directors
to keep the membership informed through regular mailings of the
activities of O.C.M.A. members and other newspaper circulation
related happenings. The editor shall serve a term as prescribed
by the Board and shall be a member of the Advisory Council
described in Article 3. The remuneration plus expenses for the
Bulletin Editor shall be set by the Board of Directors.

ARTICLE
4
One meeting of the Association shall be held each year, in the
fall, which shall be known as the annual meeting. The Board of
Directors shall set the exact dates and decide the location of
the meeting.

ARTICLE
5
The Constitution and By-Laws may be
amended by a three-fourths favorable vote of the
members present and voting at any meeting of the
Association, provided that at least twenty percent
(20%) of the membership is in attendance, and
provided that all amendments of the Constitution
shall be signed by at least three members of the
Association.

ARTICLE
6
The President, with the approval of the Board of Directors,
shall appoint a representative(s) to both the Newspaper
Association of America and The Audit Bureau of Circulation. The
representative(s) appointed shall have served as an officer or
director of O.C.M.A. and the representative’s newspaper must be
a member of the NAA and ABC. These appointments are for a
two-year term. Should a vacancy occur during the term, the
President shall appoint a qualified member to complete the
remaining term.

ARTICLE 1
It
Shall Be Known
This
organization shall be known as the Ohio Circulation Managers’
Association.

ARTICLE
2
Object
The
object of this Association shall be the mutual enlightenment of
its members and the furtherance of the best interests of the
circulation departments of the newspapers with which they are
concerned.

ARTICLE 3
Government
Sec. 1 — Directors. The
number of directors of the Association shall be
seven besides the six elected officers, all of whom
shall be elected by ballot by members of the
organization. They shall manage the affairs of the
Association and shall be known as the Board of
Directors.
Sec. 2 — Quorum. A majority
of the Board of Directors shall constitute a quorum
at any meeting thereof to transact business.
Sec. 3 — Directors Meetings.
Regular Directors’ meetings are to be held
immediately following the annual meeting of the
Association at which time the new officers and
directors will go over their duties with the
holdover directors and the Chairman of the Board.
Sec. 4 — Special Directors
Meetings. Special meetings may be called by the
President or any two Directors. Notice of all
special meetings shall be given by telephoning or
mailing or emailing of notices thereof to each
Director at least four days before date of meeting,
which notice may be sent either by the Secretary,
the President, or the Directors who called the
meeting.
Sec. 5 — Order of Business.
“Roberts Rules of Order” shall govern the conduct of
this body.
Sec. 6 — Expulsion.
The Board of Directors shall have the power to expel
any member who shall willfully or carelessly violate
any provision of the By-Laws.

The Board of Directors by a
two-thirds vote of those present have the power to
remove from
office any member elected to said office
who fails to perform his duties in a satisfactory
manner.
Sec. 7 — Vacancies. The
President shall make appointments to fill all
vacancies that may occur at any time during the
year. Appointments so made shall be deemed to expire
at the next annual meeting.
Sec. 8 — Only one member from any one
newspaper in the same city with the exception of
Secretary-Treasurer and the Chairman of the Board
may be an officer during any year.

ARTICLE 4
Duties of Officers
Sec. 1 - The
President. The President shall:

Preside at all meetings of the
Association; appoint all special and standing
committees, unless otherwise provided for in the
Constitution and By-Laws or by action of the
Association,

Be chairman of the Board of Directors and
shall preside at all meetings thereof,

| c) |
Perform such other duties as may
appertain to this office or which may be assigned by the
Board of Directors,

| d) |
AAppoint
standing committees: Bulletin, Carrier Achievement,
Buyers Guide, Newspaper Association of America
Representative, Audit Bureau of Circulation’s
Representative, Promotion Displays, Constitution and
By-Laws, Historian and Necrologist, Circulation
Information Systems/Database Marketing/Customer Service,
Electronic Media and Training. Each committee chair
shall serve at the discretion of the President,

special committees as needed. |
Sec. 2 - First Vice
President. The First Vice President
shall:

Discharge the duties of the President in
case of absence or disability, and shall perform such
other duties as may be assigned by the Board of
Directors,

| b) |
Act as Chair of
the Program Committee,
|
| c) |
Discuss work of this office with last
year’s First Vice President and become familiar with the
O.C.M.A. constitution and By-Laws,
|
| d) |
Assist the President in every way
possible,
|
| e) |
Attend all Board of Directors Meetings.
Preside at any Association meetings, which the President
cannot attend. |
Sec. 3 - Second
Vice President. The Second Vice
President shall:
| a) |
Act as Chair of the Advertising
Committee,
|
| b) |
Assist the President in every way
possible. Perform any special duties directed by the
President or the Board of Directors,
|
| c) |
Be responsible for the sponsorship and
effectiveness of committees delegated by the President,
|
| d) |
Preside at any Association meetings which the President and
First Vice President
cannot attend. |
Sec. 4 - Third
Vice President. The Third Vice President
shall:
| a) |
Be in charge of Convention Registration
and collecting of money from members, guests, and
advertising representatives,
|
| b) |
Assist the President in every way possible. Perform any
special duties directed by the President or the Board of
Directors,
|
| c) |
Attend all Board of Directors meetings,
|
| d) |
Be responsible for the sponsorship and
effectiveness of committees delegated by the President. |
Sec. 5 - Secretary-Treasurer.
The Secretary-Treasurer shall:
| a) |
Keep the records of the Association and
shall attend to the correspondence of the office and
shall present to the Directors before the annual meeting
of the Association a report on the functions and status
of the Association for the past year,
|
| b) |
Collect all monies due the Association
from fees and dues. These monies shall be deposited in a
federal bank under the name of the Association,
|
| c) |
Be Custodian of the funds of the
Association and pay out all monies under conditions
prescribed by the Board of Directors,
|
| d) |
Be reimbursed for all expenses incurred
in the performance of the duties of this office.
|
| e) |
Perform such other duties as may
appertain to this office or which may be assigned by the
Board of Directors,
|
| f) |
Keep an account of all transactions of
the office and make a yearly report of the same to the
Directors before the annual meeting of the Association,
the annual report to be audited by the committee
appointed by the President,
|
| g) |
The remuneration of this office shall be
fixed by the Board of Directors,
|
| h) |
The
Secretary-Treasurer shall be bonded by a fidelity bond,
the fee to be paid by the Association. |
Sec. 6 - Chairman
of the Board. The Chairman of the Board
shall:
| a) |
Attend Board of Directors meetings, |
| b) |
Serve as Chair of the Advisory Council as
provided in Article 3 of the Constitution, |
| c) |
Serve as Chair of the Nominating
Committee, |
| d) |
Serve as Chair of the annual Presidential
Award nominations committee. |

ARTICLE 5
Meetings
Sec. 1 — Regular Meetings. The
regular annual meeting shall be held each year
as provided in the Constitution, Article 4.
Sec. 2 — Special Meetings. The Board of
Directors may at its discretion call special
meetings of the Association to consider special
subjects. Also upon written request of not less
than one-tenth of the members, stating the
objects of the meeting, the Board of Directors
shall call a special meeting. In either case,
notice of the special meetings shall be mailed
or emailed at least five days prior to the date
fixed thereon.
Sec. 3 — Quorum. At all meetings of
the Association where business is to be transacted,
at least twenty percent (20%) of the members of the
Association must be present to constitute a
quorum.
Sec. 4 — Adjournment. Meetings of the
Association may be adjourned to such time and place
as may be agreed upon by said meeting. If no quorum
may be present at any meeting, an adjournment may be
taken to any other day with the same effect as if
the meeting had been held at the originally fixed
time.

ARTICLE 6
Elections
Mode of Procedure:
Officers of this Association shall be elected from
candidates nominated by the Nominating Committee or
from candidates nominated by any regular member from
the floor. Election shall be by a majority vote of
the members present.

ARTICLE 7
General Provisions
Sec. 1 — Members. A member of this
Association must be a Circulation Director,
Circulation Manager, Assistant Circulation Manager,
or a person in complete charge of the city,
country/state, mail circulation, or other person as
designated by the head of the Circulation Department
as having an influential impact on the successful
sales, service and collection of the circulation
department of a newspaper published in the State of
Ohio. Should any one newspaper have more than four
members, the number eligible to vote shall not
exceed four. The Circulation Director or Circulation
Manager of the respective paper shall be responsible
for designating the four eligible to vote at any
given meeting. In the case of papers not having a
Circulation Manager, the Business Manager shall be
eligible for membership until such time as a
Circulation Manager is employed. When a member
severs employment with a newspaper, membership in
the Association shall not be deemed forfeited until
a six-month period has elapsed. For any bonafide
reason, such a membership may be continued
indefinitely at the discretion of the Board of
Directors.
Sec. 2 — Application for Membership. An
application for membership must be submitted in
writing upon the proper form and endorsed by at
least two members of the Association in good
standing. The application shall be forwarded to the
Chair of the Membership Committee. After proper
investigation, the application shall then be
forwarded to the Secretary-Treasurer who will
present it to the Board of Directors. Upon their
favorable recommendation, said applicant will be
voted upon by the membership-at-large at the annual
meeting.
Sec. 3 — Initiation Fees. An initiation fee
as determined by the Board of Directors shall
accompany each application for membership in the
Association. Upon favorable action by the
membership, said initiation fee, if accepted, shall
serve as payment of dues for a twelve-month period.
Should the applicant be rejected for membership, the
Treasurer shall refund the initiation fee.
Sec. 4 — Annual Dues. The annual dues for
maintaining the organization and the time of payment
shall be set by the Board of Directors.
Sec. 5 — Representation. At meetings of the
Association, each member shall be entitled to one
vote.
Sec. 6 —
Resignations. Resignations
may be made in writing to the Board of Directors of
the Association and such resignation shall operate
as a forfeiture of all rights and interests in the
Association and its property, and the same shall
vest in the Association.
Sec. 7 — Suspension and Forfeiting. Any
member being in arrears shall be denied the rights
and privileges of the Association and if at the end
of one year such dues are unpaid, membership in the
Association will have been forfeited.
Sec. 7A— A former member having forfeited his
membership because of non-payment of dues, may be
reinstated upon payment of one year’s back dues,
plus One Dollar ($1.00) penalty for arrearage and
the payment of the current year’s dues. Such
reinstatement is subject to approval by the Board of
Directors.
Sec. 8 — Qualified Membership. Any member
who is no longer associated with or working in the Circulation Department of a newspaper
published in the State of Ohio shall be ineligible to become a member of the Board
of Directors or hold any office in the Association,
but can retain Associate membership without the
privilege of voting.
Sec. 8A —; Associate Members. A
person who is a Circulation Director, Circulation
Manager, Assistant Circulation Manager, or a person
in complete charge of the city, country/state, or
mail circulation department of a newspaper
published in a state other than Ohio, or any former
member who is no longer eligible for regular
membership, or who is a member of a circulation
service organization is eligible for Associate
Membership, for which the dues will be determined by
the Board of Directors.. All articles of the
Constitution and By-Laws affecting members shall be
in effect for Associate Members, excepting that
Associate Members may not vote or hold office.
Sec. 10 — Order of Business at Meetings.
1. Roll Call and establishment of quorum.
2. Consideration and approval of proceedings
of previous meeting.
3. Report of President.
4. Report of Secretary-Treasurer
5. Report of Committees
6. General Business, Unfinished Business, New Business
7. Election of Officers and Directors (at annual meeting)

8
Honorary Membership With Silver Card
Honorary membership in this Association may be
conferred upon any former member who has retired or
is no longer actively engaged with newspaper
circulation. Nominations for honorary membership
shall be made by a regular member in writing and
filed with the Secretary of the Association no less
than 30 days prior to the opening day of a regular
meeting. It shall be the duty of the President to
appoint a committee of not less than three nor more
than five past presidents whose duties it will be to
pass on the eligibility of the name. If favorably
passed by the majority of the committee, the
proposed name will then be presented on behalf of
the committee by the Secretary to the Board of
Directors for a vote. Majority approval must be
given by all those present.
Honorary Life Membership with Gold Card
Honorary life membership in this Association may be
conferred upon any former member who has retired or
who is no longer actively connected with circulation
work. This honor may be conferred upon any member
who has made outstanding meritorious contributions
to the growth and welfare of the newspaper
profession. The name of the member proposed for
Honorary Life Membership shall be submitted by a
regular member in writing and filed with the
Secretary of the Association not less than 90 days
prior to the opening day of a regular meeting. When
properly nominated, the Secretary shall notify the
President whose duty it shall be to nominate a
committee of not less than three nor more than five
past presidents who shall decide the eligibility of
the member. If favorably passed by the majority of
the committee, the proposed name will be presented
on behalf of the committee by the Secretary to the
membership for a vote at a regular meeting of the
Association. Majority approval must be given by all
those present. All past presidents of this
Association upon retirement from active circulation
work shall be automatically honored and presented
with Honorary Life Membership with Gold Card. ‘This
will be presented automatically without vote from
the floor or by committee. It shall be presented
immediately after a reasonable retirement date, or
upon notification of the Secretary or President.
Honorary Members and Honorary Life Members with Gold
Card will have all the privileges of the Association
except those of voting and holding office.
Sec. 1 — The association will pay the registration
fee for any member with Honorary Life Membership
with Gold Card at each annual O.C.M.A. meeting or
conference.

FOUNDED 1917
OCMA History
With a suggestion from Edward Gans, associated with
Editor and Publisher in New York, J. T. Kavanaugh of
the Dayton News called a meeting for October 30, 19
17 in Columbus, Ohio to discuss the problems of
newspaper circulation.
At that meeting, the Ohio Circulation Managers
Association was organized with J. T. Kavanaugh being
elected as President. Clem OfRourke of the Dayton
Journal-Herald was appointed to be responsible for
entertainment. The first membership meeting was held
April 2, 1918, at the Miami Hotel in
Dayton, Ohio. Thirty newspapers were represented at
the meeting.
Some of those in attendance at the first meeting
were: Edward Gans, Editor and Publisher; J. T.
Kavanaugh, Dayton News; Leslie Sauers, Zanesville
Signal; P.W. Stiles, Middletown Journal; J. J.
Quillan, Canton Repository; C. S. Wilson, Columbus
Dispatch; B. J. Uliman, Youngstown Vindicator; E. L.
Cohan, Cincinnati Commercial Tribune; C. D.
O’Rourke, Dayton Journal-Herald; Ben Miles, Lima
Republican Gazette; Stephen Weber, Hamilton Journal;
W. L. West, Lima News; R. F. Hedges, Sidney Journal;
J. C. Woods, Marion Star; H. L. Laudes, Springfield
Sun; Victor Adler, Springfield News; W. J. Galvin,
Wilmington News; H. S. Seymour, Akron Beacon
Journal; A. J. Lisbon, Journal; Herman Denman,
Coshocton Tribune.
Over the years, OCMA has strengthened its membership
to the point where most Ohio newspapers have at
least one circulation executive as a member of the
association. Many newspapers have multiple members
participating. In addition to the regular
membership, many newspaper related suppliers have
joined as Associate Members.
A number of members have acted as Secretary
Treasurer since that first meeting. Most recently:
Worthy Gee, The Columbus Dispatch, 1967-1971; Norman
Rathke, The Toledo Blade, 1972-1983; Walter Santel,
Cincinnati Enquirer, 1984-1988; Fred Weber II,
Athens Messenger, 1988-1994 and Bill Bockwich, The
Plain Dealer, 1995-2002; Brian Barker, The Plain
Dealer, 2002-present.
The first woman to be elected to the Board of
Directors was Leslie Counts, Lorain Journal. Leslie
was later elected as the first woman president of
OCMA in 1988. In 1978, to add continuity to the
Board of Directors, the By-Laws were amended to
include two past presidents on the board for two
year staggered terms. In 1982, OCMA was incorporated
as a Tennessee Corporation. King, Ballow and Little.
L. Michael Zinser served as general counsel. The
Zinser Law Firm currently serves as O.C.M.A legal
counsel.
The
Glenn L. Cox Carrier Achievement Awards program was
established in 1952 to honor youth newspaper
carriers throughout Ohio. Over the years a number of
changes have been made to enhance
the program. The program is now known as the Ohio
Outstanding Newspaper Carrier Award with the annual
awards banquet named for the founder of the program,
Glenn L. Cox, former Circulation Director of The
Dayton Daily News.
In 1982, at the direction of President Terry L.
DeVassie, the Board of Directors established the
OCMA Presidential Award. OCMA members in good
standing who have made a considerable contribution
to the success and betterment of the association or
who have made an outstanding contribution to the
circulation profession may be nominated for the
award. The selection committee is chaired by the
immediate past president. The award is presented
once in a calendar year, not necessarily annually.
William Aylward, of the Akron Beacon-Journal was the
first recipient of the award. To date, 2002,
fourteen individuals have received the award.
OCMA, in recent years, has established a variety of
training programs for its members. Most popular
programs have been in the area of district manager
training, conducted by Past President Terry L.
DeVassie for twenty years at the Ohio State
University, customer service training and the legal
seminar conducted by L. Michael Zinser for the past
twenty years. As the newspaper industry changes,
other related programs will be established to keep
the membership advised and prepared for the future.
The association is recognized to be a leader in the
training area.
Today, the association is stronger than ever and is
recognized throughout the industry as one of the
stronger circulation associations in the country.
